ALOS — Terms of Use

1. About these Terms
These Terms of Use ("Terms") are a contract between you and Ayekah & Co. Inc. ("ALOS," "we," "us," "our"), a company registered federally and in Québec, with its registered office at 1817 Rue de Villiers, Montréal, Québec, H4E 1K9, Canada. They govern your access to and use of the ALOS platform, website at alos.education, and related services (together, the "Service").
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
2. Who may use the Service
The Service is operated by adults on behalf of children. To create or administer an account, you must be of the age of majority in your jurisdiction (18 in Québec) and have the legal capacity to enter into this contract.
By creating an account, you (the account administrator) represent that:
- you are an adult acting on your own behalf or on behalf of an organization you are authorized to bind;
- you hold parental authority or guardianship over each child you enroll, or you have obtained the necessary authorization from the person who does; and
- you are responsible for the educators you invite and the students you enroll.
Children do not create their own accounts and are not parties to these Terms. A student uses the Service only under the supervision and responsibility of the account administrator and assigned educators.
3. The Service
ALOS is an educator-led adaptive learning platform that supports planning, teaching, documentation, assessment, reporting, and AI-assisted tutoring for children's education. The Service supports the educator; it does not replace the educator's judgment, and it does not itself constitute a school, a teacher, an educational authority, or legal or professional advice.
We may add, change, or remove features. Some features depend on third-party providers and on a stable internet connection (the Service does not support offline use in this version).
4. Accounts, roles, and responsibilities
Account types. Accounts are either Family or Organization, each with one or more administrators, assigned educators, and enrolled students, as described at signup and in your selected plan.
Your credentials. Authentication is provided through our identity provider (Clerk). You are responsible for keeping login credentials secure and for all activity under your account. Notify us promptly of any unauthorized use.
Educators and shared visibility. Educators assigned to a student can view and contribute to that student's profile, plans, activities, portfolio, evidence, progress, and report drafts. In this version there is no per-educator visibility filtering and no plan-edit locking; coordinating contributions is the responsibility of the educators and the account administrator. You are responsible for the conduct of educators you invite.
Students. Students access only an age-appropriate learning environment and cannot see billing, pricing, or account administration.
5. Children's use and parental responsibility
ALOS is designed for children's education and includes safety measures, including a review of AI output intended for students before it is shown. These measures reduce but do not eliminate risk. The account administrator and assigned educators remain responsible for supervising each child's use of the Service, for the appropriateness of the learning content they create or approve, and for the educational decisions they make.
Our collection and use of children's personal information is governed by the Privacy Policy, including the parental-consent model described there.
6. Free trial
New accounts currently include a 14-day free trial with full access to all features in the selected plan type, subject to fair-use limits (Section 9). At the end of the trial, nothing is charged automatically: the account moves to a paid plan only if you subscribe to one. Starting the trial does not require a credit card — a new account begins its trial immediately on sign-up, and payment details are collected only later (through Polar) if you choose to continue on a paid plan.
7. Subscriptions, fees, and billing
Plans and pricing. ALOS is offered on Family and Organization plans priced per student, with monthly and discounted annual billing options. The current prices, plan limits (including the maximum number of students and educators), and any taxes are those presented to you at signup and on our pricing page at the time you subscribe. We may change prices prospectively; changes do not affect the current paid period.
Payment processor. Subscriptions are billed through our payments provider, Polar. We do not collect or store full payment-card details (see the Privacy Policy).
Renewal. Paid plans renew automatically for successive billing periods (monthly or annual, as selected) unless cancelled before the renewal date.
Taxes. Subscriptions are sold through Polar as merchant of record. As the merchant of record, Polar is responsible for determining, collecting, and remitting any sales taxes (such as GST/QST) that apply to your subscription; any applicable tax is shown at checkout.
8. Cancellation, suspension for non-payment, and refunds
Cancellation by you. You may cancel your subscription at any time; cancellation takes effect at the end of the current paid period, and you retain access until then.
Non-payment. If payment is not completed when due, access to the account is suspended. The account and its data are kept for 24 months after the last sign-in to the account; we write to the account's administrators 30 days before deleting them, and a sign-in resets that period. You may request deletion sooner at any time.
Refunds. When you cancel, your subscription runs to the end of the paid period and is not renewed; we do not refund the unused part of a period, except where the law requires otherwise.
9. Fair-use limits
Each account has monthly fair-use limits on AI-assisted actions (such as plan generation, activity generation, assessment drafts, evidence summaries, and PDF exports), scaled to the number of students. As usage approaches a limit, a warning is shown; once the limit's grace ceiling is reached, the affected action is blocked until the next period. Fair-use limits exist to keep the Service reliable and affordable for everyone and are not a restriction on educational quality, which is the same across all paid plans. Current limit values are those in effect in the Service.
10. Acceptable use
You agree not to, and not to permit any educator, student, or other person under your account to:
- use the Service for any unlawful purpose or in violation of any applicable law;
- upload or create content that is unlawful, harmful to children, harassing, hateful, or that infringes another person's rights;
- attempt to defeat, bypass, or interfere with the Service's safety measures, security, or fair-use controls;
- access the Service through automated means (scraping, bots) except as expressly permitted, or attempt to extract the underlying AI prompts, models, or system;
- resell, sublicense, or provide the Service to third parties outside your account;
- reverse engineer or attempt to derive source code, except where this restriction is prohibited by law; or
- use the Service to develop a competing product or to train a machine-learning model.
We may investigate and take appropriate action, including suspending or terminating access, for violations.
11. Content and intellectual property
Our intellectual property. The Service — including the platform software, the AI system and its prompts and configuration, the design, the ALOS name and branding, and all related intellectual property — is owned by Ayekah & Co. Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended educational purpose during your subscription. No other rights are granted.
Your content. You and your account retain ownership of the content you and your educators create or upload — including learning plans, observations, uploaded portfolio evidence, and student work ("Your Content"). You grant us a limited license to host, store, process, display, back up, and transmit Your Content solely to operate and provide the Service to you, including through the service providers listed in the Privacy Policy. This license ends when Your Content is deleted, subject to the retention periods in the Privacy Policy. We do not use Your Content for advertising, and we do not use it to train AI models.
AI-generated content. Plans, activities, draft reports, and other materials the Service generates for your account are provided for your educational use, and you may use, edit, export, and keep them for that purpose. Because AI-generated content is produced from your inputs and our system, you are responsible for reviewing it before use (see Section 12).
Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
12. AI-assisted content — important limitations
The Service uses artificial intelligence to assist educators. AI-generated plans, activities, explanations, assessments, and reports:
- are assistive tools, not a substitute for the educator's professional judgment;
- may contain errors, omissions, or content that is not suitable for a particular student; and
- do not guarantee compliance with any curriculum, jurisdiction requirement, or reporting obligation.
The educator and account administrator are responsible for reviewing, adapting, and approving AI-generated content before it is used with a student or submitted to any authority. Where a jurisdiction adapter supports a regulatory document (for example, an annual learning plan), the exported document is an educator-reviewed document; ALOS does not file it with, and is not responsible for its acceptance by, any authority.
13. Third-party services
The Service relies on third-party providers (including Clerk, Convex, Vercel, Anthropic, Resend, and Polar) to function. Your use of the Service may be subject to those providers' terms where applicable. We are not responsible for third-party services we do not control, except as required by law.
14. Privacy
Our handling of personal information is described in the Privacy Policy, which forms part of these Terms. Please read it, particularly the sections on children's data and on cross-border processing.
15. Disclaimers
Except as required by law and as expressly stated in these Terms, the Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted or error-free, that AI-generated content will be accurate or fit for a particular educational purpose, or that the Service will meet any specific curriculum or regulatory requirement. We do not guarantee any particular educational outcome.
16. Limitation of liability
To the maximum extent permitted by applicable law, ALOS will not be liable for indirect, incidental, special, or consequential damages, and our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

18. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms (including the Acceptable Use section), if required by law, or to protect the Service or other users. You may stop using the Service and cancel at any time. On termination, the license to use the Service ends, and your data is handled according to the retention periods in the Privacy Policy (including deletion within 30 days of a deletion request, with copies in our backups removed within a further 30 days; the audit record of the deletion itself is kept 3 years, and our payments provider keeps the billing records the law requires).
19. Changes to these Terms
We may update these Terms. If a change is material, we will update the "Last updated" date and take reasonable steps to notify account administrators.
20. Governing law and disputes
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there.
21. Language
These Terms exist in two versions, French and English, written in parallel; each is an authoritative text, and both are available at alos.education.
22. General
These Terms, together with the Privacy Policy and any plan terms presented at signup, are the entire agreement between you and ALOS regarding the Service. If any provision is found unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them without our consent. Our failure to enforce a provision is not a waiver.
